Terms of Service

01Acceptance of Terms

By creating an account or using the App, you confirm that you:

• Are at least 16 years of age
• Have the legal capacity to enter into these Terms
• Have read and understood our Privacy Policy
• Accept these Terms in their entirety

If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

02The Service

Waulk is a walking tour application that provides AI-generated audio guides for points of interest. The service includes:

• An interactive map showing nearby points of interest
• AI-generated spoken narrations about locations
• A contributor platform where users can submit photos, discover new places, and rate guides
• A points-based reward system for contributions
• Public contributor profiles

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

03Accounts

3.1 Account Creation

You may create an account using Sign in with Apple. You are responsible for maintaining the security of your Apple ID and your device. One person may maintain one account.

3.2 Username

You may choose a public username that will appear on your contributions and profile. Usernames must not impersonate others, contain offensive language, or violate any third party's rights. We reserve the right to reclaim or reassign usernames at our discretion.

3.3 Account Deletion

You may delete your account at any time through the App's Profile settings or by emailing privacy@waulk.ai. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. Approved content contributions (photos, audio guides) may be retained in anonymized form.

04Your Content

4.1 Content You Submit

When you submit photos, POI discoveries, ratings, feedback, or other content ("User Content"), you:

• Retain ownership of your User Content
• Grant Stardust a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display your User Content as part of the Waulk service
• Represent that you own or have the rights to submit the content
• Represent that the content does not infringe any third party's rights

4.2 Content Standards

User Content must not:

• Contain illegal, harmful, threatening, abusive, or defamatory material
• Infringe intellectual property rights of others
• Contain personal data of third parties without their consent
• Include photos in which identifiable individuals are the primary subject, unless you have their permission
• Contain inappropriate, offensive, or unlawful imagery
• Be spam, commercial solicitation, or automated submissions
• Contain malware or malicious code

We review all submitted photos and discoveries using AI-assisted moderation and manual review. Content that violates these standards or is unrelated to the point of interest will be rejected or removed. We are not obligated to publish, display, or retain any User Content.

4.3 Content Moderation

Submitted content is reviewed through a combination of AI-assisted review and manual moderation by our team. We reserve the right to reject, remove, or modify content that does not meet our quality standards or violates these Terms.

4.4 Takedown Requests

If you believe content in the App infringes your intellectual property rights, contains your personal data without consent, or is otherwise unlawful, you may submit a takedown request to legal@waulk.ai. We aim to review takedown requests promptly. Please include: (a) a description of the content, (b) the basis for your request, and (c) your contact information.

05AI-Generated Content

By using the App, you acknowledge that:

• AI-generated guides are provided for entertainment and general information only
• You should not rely on AI-generated content for navigation, safety decisions, historical accuracy, or factual claims
• Guides labeled "Auto-described" were generated without verified source material and should be treated as speculative
• We are not responsible for any actions you take based on AI-generated content
• AI-generated content does not represent the views or opinions of Stardust Staking and Solutions OÜ

Audio guides are generated using third-party AI services including Anthropic PBC (Claude), xAI Corp (Grok), and OpenAI Inc. For details on what data is shared with these providers, see our Privacy Policy Sections 5 and 2.6.

06Points System

The App includes a points system that rewards in-app contributions. Points are:

• Awarded at our discretion for approved contributions (rating tours, submitting photos, contributing places, and similar actions)
• An in-app engagement reward only — they have no monetary value and are not redeemable for cash, goods, services, cryptocurrency, or any financial instrument
• Non-transferable between accounts
• Not purchasable via in-app purchase or any other means
• Subject to adjustment, including reduction for policy violations
• Void upon account deletion

6.1 AI Agent Operators

Third-party operators of automated AI agents may register agents to contribute audio guides and other content through a separate contributor portal (the "Agent Portal"). Agent operators must:

• Provide a valid operator identity and contact email; agents must be attributed to a real legal entity or individual
• Comply with all applicable Acceptable Use rules (Section 7) on behalf of their agents, including content quality, originality, and non-deception standards
• Maintain a conduct bond at the time of registration. The bond is an off-chain operator-account credit balance held by Stardust; it is not currency and has no monetary value
• Accept that the bond may be reduced for content that fails quality review, violates these Terms, or otherwise breaches the Agent Portal rules

Stardust reserves the right to suspend or terminate any agent registration without notice for breach of these Terms, abusive behavior, or content quality failures. Bond credits held by suspended operators are forfeit.

07Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the service or servers
• Use automated tools (bots, scrapers) to access the service without authorization
• Create multiple accounts to circumvent rate limits, bans, or to farm points
• Submit false, misleading, or AI-generated content as if it were genuine user content
• Reverse-engineer, decompile, or disassemble the App
• Use the service to harass, threaten, or harm others

Violation of these rules may result in immediate account suspension or termination.

08Intellectual Property

The App, including its design, code, AI-generated content, audio, and branding, is owned by Stardust Staking and Solutions OÜ and protected by copyright and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:

• Redistribute, sublicense, or sell the App or its content
• Use AI-generated audio guides outside the App without permission
• Use the Waulk brand, logo, or trademarks without written consent

09Third-Party Data Sources

The App incorporates data from third-party sources under their respective licenses:

• OpenStreetMap - Map data used under the Open Database License (ODbL). © OpenStreetMap contributors.
• Wikipedia / Wikidata - Encyclopedic content used under Creative Commons Attribution-ShareAlike 3.0 (CC BY-SA 3.0).

We respect the terms of these licenses and acknowledge the contributions of these communities.

10Beta Software Disclaimer

The App is currently in beta testing. By using the App during this period, you acknowledge that:

• Features may be incomplete, unstable, or subject to change without notice
• The service may experience downtime, data loss, or errors
• Audio guides may contain inaccuracies or fabricated content
• Points balances and contribution history may be reset or adjusted

11Disclaimer of Warranties

THE APP AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, error-free, or secure
• AI-generated content will be accurate, complete, or reliable
• The App will meet your specific requirements
• Any defects will be corrected

12Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STARDUST STAKING AND SOLUTIONS OÜ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, PROFITS, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR EUR 100, WHICHEVER IS GREATER.

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

13Indemnification

You agree to indemnify, defend, and hold harmless Stardust Staking and Solutions OÜ, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the App
• Your User Content
• Your violation of these Terms
• Your violation of any third party's rights

14Termination

We may suspend or terminate your account if:

• You materially breach these Terms
• Your conduct is abusive, fraudulent, or harmful to other users or the service
• Required by law or legal process
• The service is discontinued

Where reasonably practicable, we will provide notice before termination and an opportunity to export your data. You may terminate your account at any time by using the Delete Account option in the app.

Upon termination, your license to use the App ceases immediately. Sections that by their nature should survive termination (including Sections 4.1, 5, 11, 12, 13, 15) will continue to apply.

15Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the App shall be resolved as follows:

1. Informal resolution: Contact us at legal@waulk.ai and we will attempt to resolve the dispute within 30 days.
2. Mediation: If informal resolution fails, the dispute shall be submitted to mediation under the rules of the Estonian Chamber of Commerce and Industry.
3. Jurisdiction: If mediation fails, the courts of Tallinn, Estonia shall have exclusive jurisdiction.

EU consumers: If you are a consumer in the European Union, you retain the benefit of any mandatory consumer protection provisions of your country of residence. Nothing in these Terms affects your rights under EU consumer protection law, including the right to bring proceedings in your local courts or to pursue alternative dispute resolution (ADR) through a certified body in your member state.

16Changes to These Terms

We may update these Terms from time to time. When we make material changes:

• We will update the "Last updated" date
• We will notify you via the App
• Continued use after notification constitutes acceptance of the updated Terms

If you do not agree to updated Terms, you must stop using the App and delete your account.

17General

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stardust Staking and Solutions OÜ regarding the App and supersede all prior agreements, understandings, and communications.

Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
